We have represented parties in asset sales both in and outside of bankruptcy. We have represented buyers and sellers of retail businesses owned by financially distressed operators in multi-state transactions, with the number of locations spanning anywhere from a few to the hundreds.  Rob represented a billion-dollar ground beef processor in connection with the sale of its operating plants throughout the United States, a restaurant acquisition company in the purchase of dozens of quick-serve and casual dining restaurants out of bankruptcy, Kimpton Hotels in the acquisition of historic hotel sites out of bankruptcy, the trustee in the sale of a national software logistics company, MasterCard in the acquisition of the intellectual property for a virtual payment platform, the University of San Francisco in the sale of its radio station and FCC license, and both buyers and sellers in a multitude of other acquisitions and dispositions of assets across the country and in a variety of industries. We are experienced in bankruptcy "auction" sales conducted at the insistence of secured creditors and under the auspices of the court, as well as sales conducted to avoid foreclosure and bankruptcy. Our expertise includes all facets of the transaction, from structuring, negotiating and documenting the asset purchase and sale agreement through due diligence and closing, including representation of parties in bankruptcy court for the purpose of obtaining court and creditor approval, often in a contested context.
